THESE TERMS GOVERN YOUR USE OF THE SITE, ANY CONTENT (SUCH AS TEXT, DATA, INFORMATION, SOFTWARE, GRAPHICS, OR PHOTOGRAPHS) THAT RESINDION S.r.l. (“RDN”), MITSUBISHI CHEMICAL CORPORATION AND ITS SUBSIDIARIES (COLLECTIVELY "MITSUBISHI CHEMICAL") MAY MAKE AVAILABLE THROUGH THE SITE.

Access to Site.

RDN grants to you access to all the information available on the Site about RDN, Mitsubishi Chemical and their products (the “Products”), and provides you with the possibility to enter into on-line “business-to-business” purchases of certain products lines of RDN.  Prices of the Products will be available to potential customers only following registration with the RDN Shop.

You are responsible for obtaining and maintaining all equipment and services needed for access to and use of the Site and for paying all charges related thereto.

You agree to comply with these Terms, and you represent to have the powers and authorization to bind you and the legal entities you represent to these Terms.

RDN may terminate, suspend, or modify your registration with, or access to, all or part of the Site, without notice, at any time and for any reason. You may discontinue your participation in and access to the Site at any time. If you breach any of these Terms, your authorization to use the Site will automatically terminate.

Registration for Download of Technical Information and Purchases of Products.

If you desire to download technical information about any Products (for example, the Technical Data Sheet or the Material Safety Data Sheet), you must register using an electronic form, and RDN will collect certain personal information about you. You will be requested to select username and password.

If you are interested in purchasing any Products, you must access the RDN Shop. You must complete your registration with additional personal data, including your VAT registration, or other evidence that you are acting as a business rather than as a private consumer.

During the registration, you must confirm to have carefully read the “Resindion On-Line Privacy and Security Policy” and grant your consent to the treatment of your personal data, if necessary.

Sales of Products will be limited to business to business transactions and will be governed by the Online General Terms and Conditions of Sale.

You agree to provide true, accurate, current, and complete information (and, for as long as you continue to use your registration, to update such information to keep it true, accurate, current, and complete). You are responsible for maintaining the confidentiality of your password(s) and you are solely responsible for all activities that occur under your password(s). You agree to notify RDN immediately of any unauthorized use of your password(s) or any other breach of security related to the Site.

Privacy and Security Policy.

RDN’s use of all information provided by you is governed by the provisions of the Resindion On-Line Privacy and Security Policy.

Online General Terms and Conditions of Sale.

The RDN Online General Terms and Conditions of Sale shall apply to all sales through the RDN Shop and shall prevail over these Terms.  These Terms shall not be deemed or construed to alter the terms of the RDN Online General Terms and Conditions of Sale.

Links to This Site and to Third Party Sites.

You are not authorized to create links to this Site from other websites.

Links on the Site to third-party websites are provided solely as a convenience to you. If you use these links, you will leave the Site. RDN has not reviewed such third-party websites, and is not responsible for any such third-party websites (or the products, services, or content available through the same). If you decide to access any of the third-party websites linked to from the Site, you do this entirely at your own risk.

Warranties.

The Site is provided "as is" and “with all faults” and the entire risk as to the quality and performance of the Site is with you. Should the Site and/or related content prove defective, you assume the entire cost of all necessary servicing and repair. RDN expressly disclaims all warranties of any kind, whether express, implied, or statutory, with respect to the Site (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). Without limiting the generality of the foregoing, RDN makes no warranty that the Site will meet your requirements or that the Site will be uninterrupted, timely, secure, or error free or that defects in the Site will be corrected. RDN makes no warranty as to the results that may be obtained from the use of the Site or as to the accuracy or reliability of any information obtained through the Site.

In no event RDN shall be liable for any direct, indirect, incidental or consequential losses or damages suffered or incurred by you as a result of or in connection with the use of this Site, or any information originating from this Site.

Intellectual Property Rights.

This Site and all the materials incorporated by RDN on this Site are protected by copyrights, patents, trade secrets or other proprietary rights. Any use, copy, reproduction, exhibition, modification, distribution of any information contained in this Site is prohibited without RDN prior authorization.

“Resindion”, “Mitsubishi Chemical” and any other product or service name or slogan or logo contained in the Site are trademarks of RDN, Mitsubishi Chemical, or licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of RDN, or the applicable trademark holder. Ownership of all such trademarks remains with RDN, or the applicable trademark holder. You may not use any “metatags” or any other "hidden text" utilizing any name, trademark, or product or service name of RDN or Mitsubishi Chemical, without their respective prior written permission. In addition, the look and feel of the Site (including all page headers, custom graphics, button icons, and scripts) is the service mark, trademark, and/or trade dress of RDN and may not be copied, imitated, or used (in whole or in part) without RDN’s prior written permission. Reference to any products, services, processes, or other information, by trade name, trademark, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof by RDN.

Modifications of Site and Terms.

RDN reserves the right to modify, suspend, or discontinue the Site at any time without notice to any visitor or customer. The content of the Site may be out of date and RDN makes no commitment to update it.

RDN may, in its sole and absolute discretion, change these Terms from time to time. RDN will post notice of such changes on the Site. If you object to any such changes, your sole recourse shall be to cease using the Site. Continued use of the Site following notice of any such changes shall indicate your agreement to be bound by such changes. These Terms of Use have been last updated on December 1, 2010.

Notices.

When you visit the Site or send e-mails to RDN, you are communicating with RDN electronically. RDN may respond to you by e-mail or by posting notices on the Site. All such notices, disclosures, and other communications provided to you electronically will be considered as communications in writing.

Miscellanea.

These Terms constitute the entire agreement between the parties with respect to the use of the Site, supersede any prior agreements or negotiations between you and RDN with respect to such subject matter, and shall remain in full force and effect notwithstanding any termination of your use of the Site. All sales of RDN products that will be governed by the Online General Terms and Conditions of Sale available on the Site.

These Terms have been drafted in the English language and shall prevail upon any translation.

RDN will have the right to assign these Terms, in whole or in part, including any rights and claims arising thereunder, to any third parties.

No waiver of any right, breach or default under these Terms shall be considered valid unless expressly made in writing, and no waiver shall be deemed a waiver a subsequent breach or default.

The invalidity or ineffectiveness of any clause of these Terms shall not affect the validity of the remainder of these Terms, but, in the event of invalidity of a clause, the parties agree to negotiate in good faith to replace such clause with other valid and effective clauses having substantially the same effect.

Governing Law and Jurisdiction.

These Terms and the relationship between you and RDN shall be governed by, and construed and enforced in accordance with the substantive laws of the Republic of Italy.

Any disputes, differences or claims arising out or in connection with these Terms shall be exclusively referred to and finally resolved by the Court of Milan, Italy.
